Introduction & Acceptance of Terms
Welcome to SMH Professional Services C-Corporation ("SMH," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our Services, websites, and related applications. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
Who May Use Our Services
You must be at least 18 years of age and possess the legal capacity to enter into a binding contract. If acting on behalf of a company or legal entity, you represent that you have full authority to bind that entity to these Terms.
Non-Acceptance
If you do not agree to these Terms in their entirety, you must immediately cease accessing or using the Services. Continued use constitutes your ongoing acceptance of any updates or modifications to these Terms.
Section 2
Services Provided
SMH Professional Services C-Corporation delivers a comprehensive range of professional services tailored to meet client business objectives. The specific scope of services is detailed in a separately executed agreement, proposal, or statement of work.
Consulting & Advisory
Strategic guidance across business, operations, and organizational development to help clients achieve measurable outcomes.
Project Management
End-to-end oversight of complex projects, ensuring delivery on time, within scope, and aligned with client expectations.
Technical Support
Specialized technical assistance and solutions designed to support business continuity and operational efficiency.
Service Modifications
SMH reserves the right to modify, suspend, or discontinue any Services at any time, with or without notice, without liability to you.
Section 3
Payment Terms
All fees for Services rendered by SMH are due and payable as specified in the applicable agreement or statement of work. Payment shall be made in United States Dollars unless otherwise agreed to in writing by both parties.
Invoice Due Date
Invoices are due within thirty (30) days of the invoice date. Timely payment ensures uninterrupted access to Services.
Late Payment
Overdue balances may accrue interest at 1.5% per month or the maximum rate permitted by applicable law, whichever is less.
Taxes & Duties
You are responsible for all applicable taxes, duties, or governmental assessments, excluding taxes based on SMH's net income.
Invoice Disputes
Disputes regarding invoices must be submitted in writing within ten (10) days of receipt of the invoice in question.
Section 4
Intellectual Property
All intellectual property rights in the Services — including software, content, designs, graphics, and proprietary methodologies — are owned by or licensed to SMH Professional Services C-Corporation. These Terms do not transfer any ownership rights to you.
Limited License Granted
You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes during the term of your agreement. No other rights are implied or granted.
Prohibited Actions
  • Copy, modify, distribute, sell, or lease any part of the Services
  • Reverse engineer or attempt to extract source code
  • Sublicense or transfer rights to any third party
Feedback & Suggestions
Any feedback, suggestions, or ideas you voluntarily submit to SMH regarding the Services may be freely used by SMH for any purpose, without attribution or compensation to you. Such submissions do not create any obligation or confidentiality on the part of SMH.

Limitation of Liability

These limitations apply to the fullest extent permitted by applicable law. Please read this section carefully as it affects your legal rights.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMH PROFESSIONAL SERVICES C-CORPORATION, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES — ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

Aggregate Cap
SMH's total aggregate liability for all claims shall not exceed the total fees paid by you to SMH during the twelve (12) month period immediately preceding the event giving rise to the claim.

Basis of Claims
These limitations apply whether liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if SMH has been advised of the possibility of such damages.
Section 6
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Applicable Law
All matters arising out of or relating to these Terms are governed exclusively by the laws of the State of Delaware, a jurisdiction with well-established and respected commercial law frameworks.
Exclusive Forum
Any legal action or proceeding shall be instituted exclusively in the federal or state courts located in Delaware. Each party irrevocably submits to the exclusive personal jurisdiction of such courts.
Section 7
Termination
Either party may terminate the Services in accordance with these Terms and any applicable service agreement. Termination does not relieve either party of obligations accrued prior to the effective date of termination.
SMH's Right to Terminate
SMH may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms or non-payment of fees.
Cessation of Access
Upon termination, your right to use the Services will immediately cease. You must discontinue all use and destroy any downloaded or printed materials obtained from the Services.
Your Right to Terminate
You may terminate your use of the Services by providing written notice to SMH, subject to any termination clauses, notice periods, or fees outlined in your specific service agreement.
Survival of Provisions
Provisions that by their nature should survive termination — including intellectual property rights, warranty disclaimers, indemnity, and limitation of liability — shall remain in full force and effect.
